Only a natural person who is an Indian citizen and resident (stayed in India for 120+ days in the previous financial year) can incorporate an OPC. A person can be a member of only one OPC at a time.

Since an OPC has only one member, the law requires you to appoint a nominee in Form INC-3. The nominee automatically becomes the member if the owner dies or becomes incapacitated ensuring the company's perpetual existence. The nominee must be an Indian resident citizen and must consent.

There is no minimum paid-up capital requirement — you can start with ₹1. Earlier, an OPC had to convert to a Pvt Ltd if paid-up capital crossed ₹50 lakh or turnover crossed ₹2 crore, but that mandatory conversion threshold has been removed, giving OPCs greater freedom to grow.
